These Terms explain how Noventis Growth Partners coordinates and delivers its business setup, branding, and digital identity services. Please read them together with your written project proposal and our Refund Policy.

1. Services and project scope

Our services include Professional Presence, Business Formation, Professional Digital Identity, and Complete Business Launch. Each package covers one business or legal entity unless your written proposal states otherwise.

Business Formation provides administrative assistance with Florida business registration for LLCs or corporations, using the information and decisions you supply. Our services do not include legal, tax, accounting, or registered-agent services. You should obtain independent professional advice when choosing an entity structure or assessing legal and tax obligations.

Website development, ongoing marketing, ongoing social media management, advertising spend, and services outside the agreed deliverables are not included unless expressly added to your proposal. Government approvals, banking decisions, platform verification, domain availability, search rankings, leads, and revenue are not guaranteed.

2. Written proposals and approvals

Before paid work begins, we provide a written proposal identifying the service provider, deliverables, fees, payment milestones, and any project-specific conditions. An engagement begins after you accept that proposal and pay the required deposit. Sending a contact form or attending an initial strategy call does not by itself create a paid engagement. Initial strategy calls are complimentary unless a consultation fee is disclosed in advance.

Email is the official record for project approvals and scope changes. If you act for a business, you must have authority to approve the work on its behalf. Any agreed variation from these Terms must be recorded in writing and remains subject to applicable law.

3. Fees, deposits, and external costs

Prices are stated in U.S. dollars. A deposit of 50% of the agreed service fee is required to reserve the project and begin work. The deposit is credited toward the total service fee. The remaining balance is payable according to the written proposal, before the relevant filing submission, release of final creative files, or account handoff. For a combined package, the proposal will identify the applicable payment milestones.

External expenses are separate from Noventis service fees and must be authorized and funded before they are incurred. These may include government filing fees, domain registration and renewals, email subscriptions, premium assets, licenses, and other provider charges. Any applicable taxes or additional charges will be disclosed in the proposal or invoice.

Third-party renewal and subscription charges remain your responsibility and are subject to the provider's terms. A one-time Noventis package does not automatically enroll you in a recurring Noventis subscription.

4. Cancellation and refunds

To cancel, email strategy@noventisgrowth.com with your name and project details. You may cancel within 48 hours after payment for a full refund if substantive work has not begun and no external costs have been incurred. This is a commercial cancellation option and does not limit any additional rights provided by law.

For other cancellations, including after work begins, we provide an itemized account of fees earned for services performed and authorized external costs that cannot be recovered. We calculate earned fees using the milestone amounts or rates agreed in writing. The deposit is an advance payment, not an automatic cancellation penalty: any prepaid amount exceeding those earned fees and unrecoverable costs will be refunded, including any unused portion of the deposit.

Refunds of third-party charges depend on the provider's refund rules and amounts actually recovered, except where applicable law requires otherwise. Our Refund Policy provides further details. No cancellation or refund provision removes rights that cannot legally be waived.

5. Client information and approvals

You are responsible for providing accurate business information, lawful content, necessary access, and timely approvals. You must have permission to use any names, logos, images, text, or other materials you supply. You remain responsible for choosing your business structure and approving information before a filing or public release.

We ask you to respond to project requests within five business days when possible. Delivery schedules depend on receiving the required information, approvals, and payments, as well as any government or third-party processing. Any timing estimate will be confirmed for your project; no universal completion deadline is promised.

6. Revisions and additional work

Creative deliverables include two consolidated revision rounds within the agreed scope. A consolidated round is one organized set of feedback submitted together. New concepts, additional deliverables, or work beyond the agreed scope require written approval of the added fee and any schedule change.

Additional work is billed at $75 per hour in 30-minute increments, or under a separately approved fixed quote. We obtain approval before performing chargeable additional work. Correcting a Noventis-caused error or supplying a missing agreed deliverable does not count as a paid extra.

7. Project pauses and restarting

If required information, approval, or another necessary response remains outstanding for 10 business days, we may pause the project and adjust its schedule. After 30 calendar days of client inactivity, we may archive the project.

Restarting an archived project may require a revised schedule and a $75 restart fee, confirmed before work resumes. These inactivity measures and the restart fee do not apply to delays caused by Noventis. A pause or archive does not automatically cancel the project. Cancellation and refund requests remain subject to section 4.

For these project response periods, business days are Monday through Friday, excluding U.S. federal holidays.

8. Delivery, ownership, and account access

After full payment, you own the final approved custom deliverables created for your project, subject to any third-party rights and licenses. Unselected concepts, preexisting templates, reusable internal systems, and working methods remain Noventis property. Your preexisting materials remain yours.

Domains and primary business accounts should be registered using your ownership and contact information wherever the provider permits. The agreed handoff includes the access and information needed to manage the delivered setup. You remain responsible for ongoing subscriptions, renewals, account security, and business compliance after handoff unless a separate written agreement includes continued support.

We will request your permission before using your project in our portfolio or marketing.

9. Review after delivery

Please review the delivered work and report any Noventis-caused error or missing agreed deliverable within 14 days of delivery so we can address it promptly. Corrections to those items are provided without an additional service fee.

This review period does not include new creative directions, additional features, ongoing maintenance, or issues introduced by later client or third-party changes. It does not restrict rights or remedies available under applicable law.

10. Privacy and responsible use

Our Privacy Policy explains how information submitted through the website or during an inquiry is handled. Please do not place passwords, payment card details, Social Security numbers, or other sensitive information in the website contact form. We will arrange an appropriate method if specific information is needed for an agreed service.

You must not use our website or services for unlawful activity, submit information you are not authorized to use, or attempt to gain unauthorized access to accounts or systems.

11. Updates and questions

We may update these Terms for future engagements. Changes to an existing accepted project require written agreement; a website update alone does not change the commercial terms of that project. Nothing in these Terms excludes rights or obligations that applicable law does not allow the parties to exclude.
